Welcome to iLytix Services Private Limited ("iLytix", "we", "us", "our"). These Terms & Conditions ("Terms") govern your access to and use of our website https://www.ilytixservices.com and related services, including software development, IT consulting, SaaS subscriptions, resource augmentation, training and support (collectively, "Services"). By accessing our website or engaging our Services you agree to these Terms.

1. Scope of Services

iLytix provides: custom software development, resource augmentation, IT consulting, SaaS products, integrations, maintenance, DevOps, and training. Each engagement is governed by a written agreement, Statement of Work (SOW), or proposal that specifies deliverables, milestones, schedule, and pricing.

2. Engagement Models

  • Fixed-price projects
  • Time & Material (hourly) contracts
  • Monthly/retainer resource augmentation
  • SaaS subscription plans

3. Client Responsibilities

The client will provide accurate requirements, timely feedback, assets, credentials, and approvals. Delays caused by the client may impact schedules; iLytix is not responsible for such delays.

4. Intellectual Property

Client-supplied materials remain the property of the Client. Upon full payment, project-specific deliverables (source code, designs, documentation) are assigned to the Client unless otherwise stated. iLytix retains ownership of its pre-existing libraries, tools, and reusable code.

5. Payment Terms

Payment terms are set in the SOW/proposal. Work typically begins after receipt of an agreed advance. Outstanding amounts may pause deliveries. Currency and taxes will be specified in the agreement.

6. Confidentiality

Both parties will maintain confidentiality of non-public information, and will not disclose trade secrets, source code, or confidential business information except as required by law.

7. Warranties & Limitations

Services are provided on a best-effort basis. iLytix does not warrant uninterrupted service or results. To the maximum extent permitted by law, iLytix excludes liability for indirect or consequential losses.

8. Support & Maintenance

Support terms are defined in the SOW or separate support agreement. Post-delivery maintenance is chargeable unless provided under a support plan.

9. Termination

Either party may terminate for material breach or non-payment. All work performed up to the termination date remains payable.

10. Governing Law

These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of courts in India.
